Shannon C. Hensley is a partner focusing on transactional entertainment law and corporate/business law.
Ms. Hensley represents both individuals and companies in all sectors of the entertainment industry. Her individual clients include filmmakers, producers, writers, directors, actors, and musicians. She prepares and negotiates a wide variety of entertainment-related contracts, including acting, directing and producing agreements; option-purchase agreements relating to books, screenplays and life rights; shopping agreements; record label agreements and publishing agreements for musicians and composers; co-production and other collaboration agreements; live performance contracts; and endorsement agreements. This part of Ms. Hensley’s practice also includes forming loan-out companies for clients and advising them regarding protection and exploitation of their intellectual property.
Ms. Hensley also has extensive experience representing production companies in the film, television, multi-media and commercial production industries. She advises such clients on matters of entity selection, financing and capitalization, intellectual property, branding and licensing, and other entertainment-related issues. In addition, Ms. Hensley provides production legal services for television productions, motion pictures, and multimedia projects.
On the business and corporate side, Ms. Hensley represents companies in various industries, assisting them with entity formation and capitalization, negotiation of shareholder and operating agreements, and preparation of required corporate documents, as well as negotiating and drafting employment, confidentiality, non-competition, intellectual property/product licensing and distribution agreements. Her experience in this practice area has also included negotiating asset and stock purchase agreements and conducting related due diligence.
